Terms of Service

1. Agreement to Terms

By accessing or using OTTOdash (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree with any part of these Terms, you may not use the Service.

These Terms form a legally binding agreement between you and OTTOdash. They are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict-of-law principles.

You confirm that you are at least 20 years old (the age of majority in Thailand) or that you have the consent of a parent or legal guardian, and that you have the legal capacity to enter into this agreement.

2. Description of Services

OTTOdash is a vehicle management platform (a "Digital Vehicle Wallet") built for the Thai market. The Service includes:

• Vehicle registration and document management • Tax and insurance expiry tracking with reminders • Maintenance logging and service history • Fuel consumption and expense tracking • Accident report documentation • A vehicle catalog with specifications and market-price information (for reference) • A used-vehicle marketplace where buyers and sellers can connect • A vehicle rental marketplace for discovering rental listings

OTTOdash offers two in-app experiences: Personal (free) and Collector (paid subscription). Vehicle dealers use a separate portal, DealerDash, under paid dealer plans.

The Service is provided "as is" and continues to evolve. We may modify, suspend, or discontinue any feature at any time.

3. User Accounts

To access certain features, you must register for an account using an email address and password. When you create an account, you agree to:

• Provide accurate, current, and complete information • Keep your account information up to date • Keep your login credentials secure and confidential • Accept responsibility for all activity under your account • Notify us immediately of any unauthorized use of your account

We may suspend or terminate your account if any information you provide is inaccurate or incomplete, or if we reasonably suspect unauthorized or fraudulent activity.

4. User Responsibilities

As a user of the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms • Not use the Service for any fraudulent or illegal activity • Not attempt to gain unauthorized access to any part of the Service • Not interfere with or disrupt the integrity or performance of the Service • Not transmit viruses, malware, or other harmful code • Not collect or harvest personal data of other users • Not use automated systems (bots, scrapers) to access the Service

You are solely responsible for the accuracy of all data you enter, including vehicle information, expiry dates, marketplace listings, and financial records.

5. Subscriptions & Payments

OTTOdash offers a free tier and paid plans: the Collector subscription for individuals, and dealer plans (Growth and Business) on the DealerDash portal. Payments are processed by a PCI-DSS-certified payment processor.

Pricing and Billing: • All prices are shown in Thai Baht (THB) and include applicable taxes • Paid plans are billed in advance on a recurring basis and renew automatically until cancelled • You agree to provide a valid payment method for recurring charges

Upgrades and Downgrades: • Upgrades take effect immediately, and you are charged a prorated amount for the remainder of the current billing period • Downgrades take effect at the end of your current billing period; you keep your current plan's features until then

Top-Up Credits: • Certain features use consumable credits (such as AI content and pricing tools) that you may purchase as top-ups • Credits are consumable and non-refundable once purchased; a refunded charge does not automatically remove credits already granted

Cancellation: • You may cancel at any time through your account settings • Cancellation takes effect at the end of the current billing period, and you keep access until then

Refunds: • Except where required by law, payments are non-refundable and we do not provide refunds for partial billing periods • Any refund is granted at our sole discretion

We may change our pricing at any time. We will give existing subscribers reasonable advance notice before a price change takes effect.

6. Intellectual Property

The Service and its original content, features, and functionality are and remain the exclusive property of OTTOdash and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws of Thailand and international conventions.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

All content in the Service, such as text, graphics, logos, icons, images, and software, is the property of OTTOdash or its content suppliers and is protected by Thai and international copyright laws.

7. User Content

You retain all rights to the content you submit, post, or display through the Service ("User Content"), including vehicle photos, documents, and marketplace listings. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display that content solely to operate and provide the Service.

You represent and warrant that: • You own or have the necessary rights to the User Content you submit • The User Content does not infringe any third-party rights • The User Content complies with all applicable laws

We may remove any User Content that violates these Terms or that we reasonably determine to be inappropriate or harmful.

8. Data Protection & Privacy

We process your personal data in accordance with Thailand's Personal Data Protection Act B.E. 2562 (2019) (the "PDPA") and our Privacy Policy.

Your Rights Under the PDPA: As a data subject, you have the rights to access, rectify, erase, restrict, object to, and port your personal data, and to withdraw consent at any time.

Data We Process: We collect and process the personal data needed to provide the Service, including account information, vehicle data, usage data, and payment metadata handled through our payment processor.

Data Security: We apply appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction.

9. Disclaimers

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.

No Government Affiliation: OTTOdash is NOT affiliated with, endorsed by, or connected to the Department of Land Transport (DLT), the Revenue Department, or any other government agency of the Kingdom of Thailand. We are an independent, private service provider.

Informational Purposes Only: Information provided through the Service, including tax and insurance expiry dates, renewal deadlines, vehicle catalog specifications, market prices, and cost estimates, is provided for REFERENCE ONLY. You are responsible for verifying all information with official or authoritative sources before acting on it.

Marketplace and Rentals: OTTOdash provides a platform that connects buyers, sellers, dealers, renters, and rental operators. We are not a party to any transaction between users, and we do not own, inspect, or sell the vehicles listed. We do not guarantee the accuracy of any listing, the condition or legal status of any vehicle, or that any sale or rental will be completed. Any agreement, payment, inspection, or dispute arising from a marketplace or rental transaction is solely between the parties involved.

No Professional Advice: OTTOdash does not provide legal, tax, financial, insurance, or other professional advice. Always consult a qualified professional for such matters.

Data Accuracy: While we strive for accuracy, we do not guarantee the accuracy, completeness, or timeliness of any data in the Service. You are responsible for verifying the data you input.

Third-Party Services: The Service may link to third-party websites or services. We are not responsible for the content, policies, or practices of any third party.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

OTTOdash and its directors, employees, partners, agents, and suppliers shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages • Any loss of profits, data, use, goodwill, or other intangible losses • Any damages resulting from unauthorized access to or use of our servers • Any damages resulting from interruption or cessation of the Service • Any bugs, viruses, or harmful code transmitted through the Service • Any transaction, dispute, or loss arising between users on the marketplace or rental features

In no event shall our total liability to you for all claims relating to the Service exceed the amount you paid us in the twelve (12) months before the claim, or One Hundred Thai Baht (THB 100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11. Termination

Termination by You: You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ends immediately.

Termination by Us: We may suspend or terminate your account, with or without notice, if you breach these Terms or use the Service unlawfully.

Effect of Termination: Upon termination: • All rights and licenses granted to you end • You must stop using the Service • We may delete your User Content and account data, subject to our Privacy Policy and legal retention obligations • Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitation of liability

Data Export: Before terminating, you may request an export of your data in accordance with your rights under the PDPA. Please allow reasonable time for us to process the request.

12. Dispute Resolution

Governing Law: These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict-of-law principles.

Informal Resolution: Before filing any formal claim, you agree to first contact us and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the issue.

Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought in the courts of Thailand located in Bangkok. You consent to the jurisdiction of those courts.

Time Limitation: Any claim arising out of or relating to these Terms or the Service must be brought within the period allowed by applicable Thai law.

13. Changes to Terms

We may modify or replace these Terms at any time. If a change is material, we will provide reasonable advance notice before it takes effect.

Notice of Changes: We will notify you of significant changes by: • Posting the updated Terms on our website • Sending an email to your registered address, or • Displaying a notice within the Service

By continuing to access or use the Service after changes take effect, you agree to the revised Terms. If you do not agree, you must stop using the Service and may terminate your account.
